A filing reportedly shows Binance purchasing $100 million in Circle equity, a move that would mark a significant escalation in the relationship between the world’s largest crypto exchange and the issuer of USDC, the second-largest stablecoin by market cap.
The reported investment comes months after Circle completed its IPO on the New York Stock Exchange under the ticker CRCL, and layers on top of an already substantial commercial partnership between the two companies.
What we know about the Binance-Circle relationship
The two companies formalized a partnership in December 2024 that was primarily focused on expanding the reach and adoption of USDC. That deal included a one-time fee of approximately $60 million paid to Binance, along with ongoing incentives tied to USDC treasury holdings on the exchange.
As part of that arrangement, Binance committed to holding billions of dollars in USDC.
The evidence gap
It’s worth noting that deep research into Circle’s SEC filings and public disclosures has not surfaced clear confirmation of Binance purchasing equity in Circle. The company’s filings through mid-2026 describe strategic investments valued between $100 million and $104 million, but these appear to reference Circle’s own investment portfolio in private companies, not an inbound equity purchase from Binance.
Circle also completed an acquisition of Hashnote Holdings for approximately $100 million in early 2025. The proximity of that figure to the reported Binance investment introduces the possibility of crossed wires between distinct financial transactions.
Separately, investor Duan Yongping disclosed a $19 million position in Circle during Q1 2026, demonstrating that outside parties are indeed taking equity stakes in the company.
Why this matters for the stablecoin market
Whether the equity investment is ultimately confirmed or turns out to be a misreading of existing disclosures, Circle is aggressively pursuing distribution deals with major crypto platforms to cement USDC’s position against Tether’s USDT.
The $60 million upfront fee and ongoing incentive structure already suggested that Circle views Binance as perhaps its most important distribution channel.
What to watch
Market participants should keep an eye on Circle’s upcoming quarterly filings, which would need to disclose any significant new shareholders or related-party transactions. If Binance did acquire $100 million in equity, that information will surface in the company’s next proxy statement or 10-Q filing.
