MemeCore commits $1B in tokens to ZeroStack in equity swap that raises more questions than answers

ZeroStack Corp. (NASDAQ: ZSTK) announced the completion of a transaction involving roughly $1 billion worth of MemeCore ($M) tokens in exchange for equity. The deal, which closed on August 19, added 925,925,926 $M tokens to ZeroStack’s balance sheet at a valuation of $1.08 per token.

In return, ZeroStack is issuing 3.5 million common shares plus pre-funded warrants that could allow the purchase of up to approximately 36.2 million additional shares at $25.19 each. That strike price represents a premium of more than 12 times ZeroStack’s recent market trading levels.

The deal structure

The tokens came from two entities: Puple AI Inc. and Blockcat Pte. Ltd., with the transaction executed by MemeCore principals. According to the SEC Form 8-K filing, the $M tokens were valued at their fair market price as of August 14, five days before the deal closed.

ZeroStack operates in a dual capacity, straddling pharmaceutical distribution and digital assets. The MemeCore ecosystem runs on its own EVM-compatible Layer-1 blockchain focused on meme-driven digital assets, where $M serves as both the gas and utility token.

MemeCore’s principals framed the deal as strategically aligned, pointing to ZeroStack’s existing digital asset operations. ZeroStack also holds 0G tokens and plans to leverage those holdings alongside the new $M position to build out a more diversified crypto portfolio.

The transaction was announced and completed on the same day, leaving little room for public market feedback before the deal was done.

Why the premium matters

The most striking detail in this entire arrangement is the share issuance price. When a company issues shares and warrants at a price more than 12 times above where the stock has been trading, it creates an unusual dynamic.

The pre-funded warrants add another layer of complexity. If all 36.2 million warrant shares were exercised at $25.19, that would represent roughly $912 million in potential proceeds for ZeroStack.

What investors should watch

The immediate balance sheet impact is straightforward: ZeroStack now holds close to a billion $M tokens. Whether that translates to real, liquid value depends entirely on the MemeCore token’s market depth and trading volume.

The dilution math also deserves attention. If the warrants are fully exercised, ZeroStack’s share count would expand by roughly 39.7 million shares, combining the 3.5 million issued shares with the warrant shares.

With MemeCore principals facilitating the deal and receiving equity in return, the relationship between the two entities becomes deeply intertwined.
